These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services provided by Blackstar Systems ("Blackstar," "we," "us," or "our"), collectively referred to as the "Services." By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Services.

1. Description of Services

Blackstar Systems provides an AI-assisted operations platform designed to process inbound communications on behalf of businesses and execute configured workflows and integrations. The Services enable businesses to:

  • Receive and process phone calls through AI-powered systems
  • Transcribe and extract structured data from communications
  • Route intent to appropriate workflows
  • Execute business actions through integrations with third-party systems
  • Log and audit operational activities

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements.

2.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

You may not share your account credentials or allow others to access your account.

3. Acceptable Use

3.1 Permitted Use

You may use the Services only for lawful business purposes and in compliance with these Terms and all applicable laws and regulations.

3.2 Prohibited Activities

You agree not to:

  • Use the Services for any unlawful, fraudulent, or abusive purpose
  • Violate any applicable laws, including telecommunications regulations, call recording laws, consumer protection laws, or privacy regulations
  • Interfere with or disrupt the integrity, security, or performance of the Services
  • Attempt to gain unauthorized access to our systems, networks, or data
  • Reverse engineer, decompile, or attempt to extract source code from the Services
  • Use the Services to transmit malware, viruses, or harmful code
  • Harass, threaten, or impersonate others
  • Collect or harvest information from the Services through automated means without permission
  • Misuse call, messaging, or automation features in ways that violate telecommunications laws or third-party rights
  • Remove, obscure, or alter any proprietary notices or labels

4. Customer Data and Processing

4.1 Data Ownership

You retain all ownership rights to data you submit to or generate through the Services ("Customer Data").

4.2 License to Process

You grant Blackstar a limited, non-exclusive, worldwide license to access, use, process, and store Customer Data solely to provide and operate the Services in accordance with your instructions and these Terms.

4.3 Your Responsibilities

You are solely responsible for:

  • The accuracy, quality, and legality of Customer Data
  • Obtaining all necessary rights, consents, and permissions to collect and process Customer Data
  • Complying with applicable data protection and privacy laws
  • Ensuring your use of the Services complies with call recording laws and regulations in all relevant jurisdictions
  • Providing required notices and obtaining necessary consents from individuals whose data is processed through the Services
  • Your use of data extracted, processed, or generated through the Services

4.4 Call Recording Compliance

You acknowledge and agree that:

  • Call recording laws vary significantly by jurisdiction
  • You are solely responsible for compliance with all applicable call recording laws
  • Some jurisdictions require all-party consent before recording calls
  • Failure to comply with call recording laws may result in civil or criminal penalties
  • Blackstar provides tools but does not provide legal advice or ensure your compliance

You must configure the Services appropriately and provide any required disclosures or obtain necessary consents before recording calls.

5. Third-Party Services and Integrations

5.1 Third-Party Platforms

The Services integrate with third-party platforms, including CRMs, scheduling tools, and communication systems. These integrations are subject to the terms, policies, and availability of the third-party providers.

5.2 No Responsibility for Third Parties

Blackstar does not control, endorse, or assume responsibility for third-party services. We are not liable for:

  • The availability, performance, or security of third-party services
  • Data loss, corruption, or unauthorized access resulting from third-party service failures
  • Changes to third-party APIs, features, or terms that affect integrations
  • Any actions taken by third-party services based on data transmitted through the Services

5.3 Your Third-Party Agreements

You are responsible for complying with all terms and conditions of third-party services you integrate with the Services.

6. AI and Automation Limitations

6.1 AI-Assisted Processing

The Services use artificial intelligence to transcribe calls, extract data, and classify intent. AI processing:

  • Is not perfectly accurate and may contain errors
  • Requires human verification for critical applications
  • Does not constitute professional advice or judgment
  • Should not be solely relied upon for legally consequential decisions

6.2 No Guarantees of Accuracy

We do not guarantee:

  • Accurate transcription of all communications
  • Correct extraction or classification of data
  • Error-free execution of workflows or integrations
  • Specific business outcomes or results

You are responsible for verifying AI outputs and ensuring appropriate oversight of automated actions.

7. Intellectual Property

7.1 Blackstar's Rights

The Services, including all software, technology, designs, interfaces, documentation, and underlying systems, are owned by Blackstar Systems and protected by copyright, trademark, patent, and other intellectual property laws.

7.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. No other rights are granted.

7.3 Restrictions

You may not copy, modify, distribute, sell, lease, or create derivative works based on the Services without our express written permission.

7.4 Feedback

If you provide feedback, suggestions, or ideas about the Services, we may use them without obligation or compensation to you.

8. Service Availability and Modifications

8.1 Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free availability. The Services may be subject to:

  • Scheduled maintenance and updates
  • Unplanned outages or performance issues
  • Limitations, delays, or failures due to third-party service dependencies

8.2 Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.

8.3 Updates to Terms

We may update these Terms from time to time. We will post updated Terms with a revised effective date. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

9. Fees and Payment

If you have entered into a separate agreement with us that includes payment terms, those terms govern fees and payment. We reserve the right to modify pricing with reasonable notice.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLACKSTAR DISCLAIMS ALL WARRANTIES, INCLUDING:

  • Merchantability, fitness for a particular purpose, and non-infringement
  • Uninterrupted, secure, or error-free operation
  • Accuracy, reliability, or completeness of content or data
  • Correction of defects or errors
  • Freedom from viruses or harmful components

WE DO NOT WARRANT THAT:

  • The Services will meet your specific requirements or expectations
  • AI transcription or data extraction will be accurate or complete
  • Integrations with third-party services will function without interruption
  • Any particular business outcome will result from use of the Services

Some jurisdictions do not allow exclusion of implied warranties, so some of the above exclusions may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

11.1 Exclusion of Damages

BLACKSTAR SYSTEMS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR:

  • Indirect, incidental, consequential, special, punitive, or exemplary damages
  • Loss of profits, revenue, data, business opportunities, or goodwill
  • Business interruption or system failures
  • Errors in AI transcription, data extraction, or workflow execution
  • Actions taken by third-party services or integrations
  • Unauthorized access to or alteration of data
  • Failure to obtain required consents or comply with applicable laws

11.2 Liability Cap

IN NO EVENT WILL BLACKSTAR'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100) IF NO FEES WERE PAID.

11.3 Basis of the Bargain

You acknowledge that these limitations of liability are fundamental elements of the agreement between you and Blackstar, and that we would not provide the Services without these limitations.

Some jurisdictions do not allow limitation of liability for certain damages, so some limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Blackstar Systems, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations, including call recording laws
  • Your failure to obtain required consents or provide required notices
  • Customer Data or your processing of personal information
  • Any claim that your use of the Services infringes third-party rights

13. Termination

13.1 Termination by You

You may cancel a monthly subscription at any time. Cancellation takes effect at the end of the then-current monthly billing period, and you will not be charged for any subsequent billing periods. Fees paid for the then-current billing period are non-refundable. No long-term commitment is required for month-to-month subscriptions.

13.2 Termination by Blackstar

We may suspend or terminate your access to the Services immediately, with or without notice, if:

  • You violate these Terms
  • Your use poses security or legal risks
  • You engage in fraudulent or abusive conduct
  • Required by law or legal process

13.3 Effect of Termination

Upon termination:

  • Your right to access and use the Services immediately ceases
  • You remain responsible for all fees and charges incurred prior to termination
  • Provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, and indemnification) will continue to apply

13.4 Data Upon Termination

Following termination, we may delete Customer Data in accordance with our retention policies. We are not obligated to maintain or return data after termination unless required by law or separate agreement.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the United States and the State of North Carolina, without regard to conflict of law principles.

14.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the state and federal courts located in Wake County, North Carolina for resolution of any disputes arising under these Terms.

14.3 Waiver of Class Actions

You agree that disputes will be resolved on an individual basis. You waive any right to participate in class action lawsuits or class-wide arbitration.

15. General Provisions

15.1 Entire Agreement

These Terms, together with any separate agreements you have entered into with us, constitute the entire agreement between you and Blackstar regarding the Services.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control.

15.6 Export Compliance

You agree to comply with all applicable export and import laws and regulations.
